Legal Advisor / Company Secretary Assistant

Overall Job Objective, role and responsibilities

To manage, co-ordinate and execute all tasks relating to:

  • Compliance with the Banks Act relating to a Group Structure / Organogram
  • Manage  / oversee the maintenance of the Group structure
  • Communicate with all divisions in the Group as well as the regulator in this regard
  • Advise all divisions in the group relating to the group structure, disposals and acquisitions and what is permissible under the Banks act and rules agreed with SARB
  • Effective communication with all stakeholders
  • Drive the process of a structure “clean up”
  • Drive the process of maintaining the relevant information of each entity on the structure  
  • Drive a “Company elimination / deregistration path” project for the Group
  • Advise on, review, amend all Section 52 applications and notifications relating to subsidiaries and JV’s in the Group, and ensure the submission thereof to SARB 
  • Drive and finalise the Companies Act Implementation plan throughout
  • Advising, assisting the Company Secretarial team on matters relating to the implementation of the new Companies Act
  • Assist the Company Secretary in planning, developing, managing and maintaining various registers / databases of information for the Group – relating to requirements flowing from ERRF and /or relating to good governance principles
  • If required, assist with / drive / manage the review of a integrated Company Secretarial System  - to meet the system needs and demands of the team in SA, and assist with the investigation of the deployment thereof globally
  • Act as a general source of advice to business units on matters relating to Company / Corporate Law / Corporate Governance
  • Assist the Company Secretary in driving the role of Company Secretarial as a cornerstone in the risk management process of the Group
  • When required, to fill in for the Company Secretary at meetings relating to the overall risk or governance of the Company
  • When required, to co-ordinate certain DLC related projects
  • To assist the Company Secretary to achieve the objective of ensuring that the Board is updated on relevant legislation – which in itself requires to stay updated and abreast on all changes in relevant legislation
  • To manage, drive, oversee the execution of all requirements relating to the Company Secretarial Regulatory Universe
  • Oversee the research and preparation of opinions and training material on new and existing legislation
  • Oversee / plan / drive team training
  • Identify automation of tasks and implementation thereof
  • Backup on statutory matters to the rest of the team and assist with quality control around statutory maintenance
  • Any other related tasks as requested by the Company Secretary
Skills, Experience and Education


  • At least 10 years post admission experience of which 5 years within a corporate environment
  • Computer literate  - excellent
  • Previous experience as either a Corporate Legal Advisor or Company Secretary or Compliance Officer is essential
  • Totally up to date on the new Companies Act - 2008


  • LLB
  • Admitted attorney
